3.1 REGISTRATION – CREATING AN ACCOUNT

By creating an account (“Account”) in our Website, you accept these Terms of Service and our Privacy Policy, and your state that you are not less than 18 (eighteen) years of age. No entitlement exists for admission to the Service. Via your registration, you agree to provide accurate, complete and up to date information.

By using the Website, you agree that you are the sole authorized User of your Account and undertake to secure the confidentiality of your credentials.

Style Slots has no responsibility over the use of your Account and expressly disclaims any liability therefrom. In the event that you suspect that any unauthorized party might be using your Account, you shall notify Style Slots immediately by emailing us at info@styleslots.gr.

In the event that Style Slots confirms or suspects violation of these Terms by Clients or Professionals, Style Slots reserves the right to suspend or terminate existing accounts.

3.2 SCOPE OF SERVICES/BIDDING PROCESS

Style Slots is a Website which facilitates the connection between individuals (“Clients”) seeking Professionals to perform a Work and Professionals who are willing to perform the Work by placing a Bid for this purpose.

Clients have the possibility to post Works and hire Professionals via the Website, describing in a clear manner the Work offered, their timelines and expectations.

Professionals have the opportunity to submit an offer through Style Slots’s platform in their Account, for the purpose of reaching a contractual relationship with the Client. When submitting his offer (“Bid”), a Professional will select the Project he prefers as well as the amount he wishes to allocate for implementing this specific Work.

The Professional will be solely responsible for the Bid, once it is placed via his registered Account. In this respect, the Professional cannot change the amount of the Bid proposed for a Project.

Once the Client selects the Bid he wishes, the Client will have access to the contact information of the Professional placed the Bid so that both parties may enter into a contractual agreement upon their discretion. Style Slots does not guarantee that a contractual agreement will be drawn between the two Parties.

By using the Website, you acknowledge that Style Slots offers intermediating services between Clients and Professionals in the sense that it connects a Client with a Professional. Therefore, the service of Style Slots is limited to the provision of the services described above and Style Slots cannot guarantee and shall have no responsibility whatsoever for the identity and/or the qualifications and reliability of any Professional.

Following the above, you herein acknowledge that the Client has the absolute and full responsibility to ensure, before accepting the performance of the Work by a Professional, that the identity and details of the Professional are verified, that the Professional is licensed and meets all legal requirements for the exercise of his profession, is trustworthy, reliable and has trained and certified personnel and/or subcontractors to carry out the Work.

Client has, also, the sole responsibility to verify the accuracy of any information and/or documents provided by any Professional before selecting and accepting his services.

Style Slots disclaims any liability whatsoever and any claims in respect of the above, including but not limited to, in the event that the identity and/or details of the Professional are untrue, inaccurate or incomplete. Style Slots shall not be liable in any way whatsoever in the event that the Professional does not meet all the legal requirements for the exercise of his profession.

By using Style Slots services, you acknowledge that you are responsible for evaluating each Professional and their Bid and either selecting the one you believe to be the most suitable for you in the event that more than one Professional express interest in the Work you have posted, or accepting or rejecting the only Professional who has expressed interest.

Style Slots shall have no responsibility whatsoever for your personal selection and the fact that you select and may enter into a contractual relationship with the Professional is at your own risk.

By using the Website, you acknowledge that Style Slots shall have no liability in the event that no Suitable Professional is found for any posted Work and/or in the event of a fraudulent, inaccurate or incomplete Bidding by any Professional.

4.1 FINANCIAL TERMS IN THE AGREEMENT BETWEEN CLIENTS AND PROFESSIONALS

Since Style Slots is not a Party of the agreement that may be concluded between the Client and the Professional, in cases where there is the possibility of negotiation between the parties and the relevant terms are not already determined in the publication of the Work in the Website, Style Slots is not involved in the formulation of the terms which will govern the agreement, such as, but not limited to, the date of the performance of the Work.

It is, therefore, the sole responsibility of the Client and the Professional to negotiate, to agree on the above terms and to proceed to their fulfilment.

With regard to the Professional's renumeration for the performance of the Work, it is accepted that the Professional's Bid, as made via his Account, given that it is selected by the Client, constitutes a binding financial term for both parties, and cannot be negotiated or altered by any subsequent and/or other written agreement between the Client and the Professional.

Following all of the above, it is clear that Style Slots is not involved in the financial transaction between the Client and the Professional and that the Client deals directly with the Professional.

It is noted that due to the fact that Style Slots is not a Party of the agreement that may be concluded between the Client and the Professional, has no responsibility of keeping records of any invoices, receipts or other documents relating to the Professional's transactions with the Client. Therefore, Style Slots disclaims any liability in respect of the preparation and maintenance of the relevant documents.

THE CLIENT IS OBLIGED TO PAY AND THE PROFESSIONAL MAY CLAIM EXCLUSIVELY FROM THE CLIENT - AND NOT FROM STYLE SLOTS - THE PAYMENT OF HIS REMUNERATION FOR THE PERFORMANCE OF THE WORK, AS SET OUT IN THE AGREEMENT CONCLUDED BETWEEN THEM.

7.1 PRIVACY AND DATA PROTECTION

Data collected are treated as confidential and in good faith and according to our Privacy Policy, which explains in detail how we collect, use and protect your personal information.

7.2 RELEASE

You agree that Style Slots is not responsible for the adequacy, skills or conduct of any Professional and you acknowledge that Style Slots will not be liable for any claim or damage arising from or/and in connection with the acts or omissions of any Professional.

In the event that you have a dispute with any Professional, you hereby release Style Slots and its officers, directors, employees, subsidiaries, affiliates, agents and representatives from any and all claims, liabilities, costs, including without limitation attorney’s fees, loss or damage of every kind and nature and unknown, arising out of or in any way connecting with such disputes.

Indicatively and not restrictively, Style Slots bears no responsibility whatsoever and disclaims any claim in respect of the performance of the Work by the Professional.

Style Slots shall not be liable for the proper performance of the Work and/or for the quality or suitability of the services provided by the Professional or its subcontractors and for any claim in connection therewith, including but not limited to any claims for theft or damage caused to persons, property, assets and other items or for any other direct, indirect or consequential loss or damage which the Customer may suffer from the Professional.

7.3 INTELLECTUAL PROPERTY

All trademarks, logos, images and service marks, including these Terms, as they appear on the Website are the intellectual property of the Company (collectively the "Intellectual Property").

Users may not use, copy, reproduce, republish, upload/upload/post, publish, transmit, distribute or modify by in any way whatsoever the intellectual property of the Company without the prior express written consent of the latter. The use of our intellectual property rights, including, but not limited to, the trademarks of Company's trademarks and copyright in the Style Slots logo to any other website without permission is strictly prohibited. In the event of a breach of these terms, the Company will shall have the right to exercise its reserved rights to protect the intellectual property in accordance with the provisions of the applicable legislation.

7.4 NO AGENCY

No independent contractor, agency, partnership, joint venture, employer-employee or franchiser-franchisee relationship is intended or created by this Agreement.

7.5 WAIVER

No waiver of any right or remedies by Style Slots shall be effective unless made in writing and signed by an authorized representative of Style Slots. A failure by Style Slots to exercise or enforce any rights conferred upon us by Terms of Service shall not be deemed to be a waiver of variation of any such rights or operate so as to bar the exercise or enforcement thereof at any subsequent time or times.

7.6 POLICIES

Users are solely responsible for the use of their Account on Style Slots’s platform and warrant not to and not to authorize any party to (i) generate automated, fraudulent or otherwise invalid, bids, (ii) attempt to interfere with the functioning of Style Slots’s platform and its security measures, (iii) engage in bids that violate any law, security policies, (iv) post inaccurate or incorrect information about themselves or any third parties, (iv) use the Website and the Services of Style Slots in a manner inconsistent with these Terms and Conditions of Use for purposes other than those for which the Website was created and operated and for which the Services are provided; (v) use the Website and the Services of the Style Slots for any illegal or unethical activity or to transmit or post slanderous, offensive, abusive, threatening or obscene content or content that may cause annoyance, inconvenience or unnecessary concern, (v) will not use false information or information that it is not authorised to use.

7.7 LIMITATION OF LIABILITY

The Company shall be liable exclusively for fraud or gross negligence and to the extent that such liability can be established under the applicable legislation.

The Company shall not be liable for any delays, delivery failures or damages or losses resulting from any problems inherent in the use of the platform, the internet and electronic communications in general.

The Company, its employees, or its other representatives or agents, have no right to any of the following liability, under any circumstances, for any consequential, incidental, indirect, special damages or costs or penalties, including, but not limited to, loss of profits, business interruption, loss of information or data, or loss of customers, loss or damage to property; and third party claims arising out of or in connection with the use, copying,or presentation of this Website or its contents or any other linked Website, regardless of whether the Company had notice, knowledge or should have knowledge of this possibility.

The Company shall not be liable for any loss or damage arising from the contractual relationship between the Client and the Professional.

7.8 IDEMNIFICATION

Users agree that they shall directly indemnify Style Slots for any costs, positive or consequential damages or losses of any nature (including legal costs) incurred by the Users due to claims, direct or indirect, existing or imminent, arising from any culpable unconventional, illegal or bad faith conduct of the Users. Indemnification includes damages proven to have been suffered by Style Slots or a third party against the Users due to, but not limited to, any unconventional or illegal act or omission, copyright infringement, trademarks, as well as for defamation, false or misleading advertising or, respectively, damage resulting from information and Work posted by the Client on the Style Slots Website in violation of these Terms of Use.

7.9 CHANGES TO THE AGREEMENT

Style Slots reserves the right, at its sole and absolute discretion, to change, modify, add to, supplement or delete any of the terms and conditions of these Terms, effective with or without prior notice. Either party may terminate these Terms at any time with notice to the other party. Your continued Use of Style Slots Website following any revision of these Terms constitutes your complete and irrevocable acceptance of any and all such changes. Style Slots may suspend Professionals ability to participate in the Bidding Process at any time, for example, in the event of payment issues, suspected or actual violations of the Policies of these Terms or for legal reasons.

7.10 GOVERNING LAW

These Terms of Use and any modification thereof are governed by Greek law. For Any dispute that may arise from this agreement and which cannot be resolved out of court, the courts of Athens shall have jurisdiction. All rights and remedies under the terms of use are cumulative and do not exclude other rights and remedies provided by law or other agreement.

If any provision of these Terms of Use is held invalid by any court provision of these Terms of Use is invalidated by any court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the validity of the remaining provisions of the Terms of Use, which shall remain in full force and effect.
